Article 1 · Purpose
These Terms of Service govern the general conditions under which JV Studio, based in Lisbon, Portugal, hereinafter “the Provider”, supplies services to its clients, hereinafter “the Client”.
Article 2 · Services Provided
JV Studio provides digital services including, but not limited to:
- Website creation and development
- Online store and e-commerce development
- Custom web platform development
- Interface design (UI/UX)
- Digital branding and visual identity
- Search engine optimisation (SEO)
- Digital strategy consulting
- Digital process automation
Article 3 · Proposal and Acceptance
Every project is preceded by a detailed proposal covering the scope of work, estimated timelines and investment. The proposal is valid for 30 days from its issue date.
Acceptance of the proposal by the Client constitutes a binding agreement between the parties and implies agreement with these Terms of Service.
Article 4 · Prices and Payment Terms
Service prices are those stated in the proposal accepted by the Client. Unless stated otherwise, the amounts shown do not include VAT at the applicable legal rate.
Standard payment terms are:
- 50% upon acceptance of the proposal (project start)
- 50% upon completion and delivery of the project
For larger projects, a phased payment plan may be agreed and detailed in the proposal.
Late payment may result in the suspension of work in progress until the situation is resolved.
Article 5 · Timelines
Delivery timelines are estimates and are stated in the proposal. Meeting them depends on the Client’s timely collaboration, namely in supplying content, feedback and approvals.
Delays caused by the Client may result in an adjustment to the delivery dates initially foreseen.
Article 6 · Intellectual Property
Upon full payment for the project, the Client acquires usage rights over the final deliverables for the agreed purposes.
The Provider reserves the right to feature the project in its portfolio and promotional materials, unless expressly agreed otherwise.
Working files, source code and intermediate elements remain the property of the Provider, unless expressly agreed otherwise in the proposal.
Photographs, illustrations, typefaces and other licensed third-party elements are subject to the terms of their respective licences.
Article 7 · Confidentiality
Both parties undertake to keep confidential all sensitive information shared within the commercial relationship, including business data, strategies, financial information and any other non-public data.
This obligation remains valid during and after completion of the project.
Article 8 · Warranties
The Provider warrants that services are performed with professional competence and in line with industry standards.
After delivery, a 30-day warranty period is offered for the correction of any defects or technical faults, at no additional cost.
The warranty does not cover changes of scope, new features, or problems resulting from modifications made by third parties.
Article 9 · Limitation of Liability
The Provider’s liability is limited to the total value of the contracted project.
The Provider is not liable for indirect damages, loss of profits, data loss or business interruption resulting from the use of the services provided.
The Provider is not responsible for failures in third-party services (hosting, domains, external platforms) or for changes in search engine algorithms that may affect the website’s ranking.
Article 10 · Cancellation and Termination
Either party may terminate the agreement by giving 15 days’ written notice.
In the event of cancellation by the Client:
- Amounts already paid are non-refundable
- Work carried out up to the cancellation date is invoiced proportionally
- The Client receives the deliverables produced up to the cancellation date, upon full payment for the work performed
The Provider reserves the right to terminate the contract immediately in the event of serious breach by the Client.
Article 11 · Data Protection
The processing of personal data within the commercial relationship is governed by our Privacy Policy, in compliance with the General Data Protection Regulation (GDPR) and applicable national legislation.
Article 12 · Governing Law and Dispute Resolution
These Terms of Service are governed by Portuguese law.
In the event of a dispute, the parties undertake to seek an amicable resolution. Failing agreement, the courts of the district of Lisbon shall have jurisdiction.
Article 13 · Final Provisions
JV Studio reserves the right to update these Terms of Service at any time. Changes take effect on the date they are published on this page.
The invalidity of any clause does not affect the validity of the remaining ones.
